Welcome to Stratum Systems LLC ("Company," "we," "us," or "our"). By accessing or using our website, services, chatbots, or voice agents (collectively, the “Services”), you agree to be bound by the following Terms & Conditions.

If you do not agree to these Terms, please do not use our Services.

1. Description of Services

Stratum Systems LLC provides automation and AI-powered services, including but not limited to:

  • Chatbot deployment (Concierge IQ)

  • Voice agent services (Voice IQ)

  • CRM integration, automation design, and consulting

We reserve the right to update, modify, or discontinue any part of our Services at any time without notice.

2. User Responsibilities

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use our Services to transmit unlawful, fraudulent, or harmful content

  • Attempt to reverse engineer, duplicate, or exploit any part of our systems or code

  • Provide false, misleading, or unauthorized information

You must immediately report any issues, AI errors, or automation mishaps that impact your business operations.

3. Client Data and Consent

If you provide or import customer data (e.g., names, phone numbers, emails), you confirm that you have obtained all necessary rights and consent to use and process such data.

We are not responsible for data uploaded or submitted unlawfully by you or your users.

4. Intellectual Property (IP) Rights

All branding, software, workflows, designs, prompts, and content created by or for Stratum Systems LLC, including Concierge IQ and Voice IQ, remain the sole intellectual property of Stratum Systems LLC unless otherwise agreed in writing.

You may not copy, distribute, or commercially exploit any part of our IP without express written consent.

5. Payment Terms

Payment terms and billing schedules are governed by the written contract between you and Stratum Systems LLC.

  • No Refunds: All payments are final.

  • Cancellation Policy: Cancellation must be requested at least 14 days prior to the next scheduled billing date.

  • Non-Payment Consequences: If payment is not received, services will be suspended.

  • No Late Fees: We do not impose late payment penalties.

6. No Warranty / No Guarantee

All services are provided “as is” and “as available” without any express or implied warranties.

We do not guarantee:

  • Specific business results or performance outcomes

  • Increased revenue, leads, or conversions

  • 100% service uptime

  • Absence of AI or automation errors

We are not liable for:

  • Business interruption or revenue loss

  • AI or automation errors

  • Service malfunctions due to client-side misconfigurations

  • Data breaches outside of our control

7. Third-Party Services Disclosure

Our Services may involve or depend on third-party platforms such as:

  • CRM systems

  • SMS and voice service providers (e.g., Twilio)

  • Cloud-based automation tools

Stratum Systems LLC is not responsible for:

  • Performance, outages, or errors caused by third-party systems

  • Changes in third-party service terms or pricing

  • Data practices or policies of third-party providers

Your use of third-party platforms may be subject to separate terms and privacy policies.

8. Beta Tools (If Applicable)

If you access a beta or trial version of any tool or feature, you understand and accept that:

  • Beta tools are provided for testing and feedback purposes only

  • They may be incomplete, unstable, or inaccurate

  • You use them at your own risk

We may terminate or restrict beta access at any time.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public business, technical, and customer data exchanged during the relationship.

Confidential information shall not be disclosed to any third party without prior written consent, unless legally required.

10. Limitation of Liability

To the fullest extent permitted by law, Stratum Systems LLC shall not be liable for any indirect, incidental, or consequential damages arising from:

  • Use of or inability to use our Services

  • Errors or malfunctions caused by automation

  • Loss of data, revenue, or business

  • Downtime, service interruption, or third-party failures

Our total liability shall not exceed the fees paid by you in the 30 days prior to the claim.

11. Termination

We reserve the right to suspend or terminate Services if:

  • You violate these Terms

  • Payment is not received as agreed

  • Required by law or legal order

12. Modifications to These Terms

We may update these Terms at any time. Changes will be posted on our website with a new “Last Updated” date. Continued use of the Services constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed under the laws of the State of Texas, without regard to conflict of law principles.
